The Deal
Mérieux NutriSciences has closed its acquisition of Certified Group, a transaction first announced in August 2026 that reshapes the North American food Testing, Inspection, and Certification (TIC) landscape. Certified Group contributes approximately $300 million in annual revenue, 31 accredited laboratories, more than 1,600 employees, and a roster of over 170 independent regulatory consultants operating across the United States and Canada.
The combined organization now operates more than 160 accredited laboratories globally with a workforce exceeding 11,600 — a scale that positions Mérieux NutriSciences as the continent's largest food-safety testing provider and a top-tier competitor in the global TIC market. For food and beverage manufacturers navigating tightening regulatory requirements and increasingly complex supply chains, the expanded footprint translates to faster turnaround on time-sensitive testing and broader geographic coverage closer to production sites.
What It Means for Operators
The integration materially deepens Mérieux NutriSciences' capabilities across several critical foodservice supply-chain segments. Certified Group's Food Safety Net Services (FSNS) network brings a well-regarded animal-protein testing practice — relevant to beef, poultry, and pork processors supplying quick-service and full-service chains alike — alongside leading positions in dairy, packaged foods, nuts, and spices. Those categories sit at the core of most foodservice ingredient pipelines, where pathogen testing and label-compliance verification are non-negotiable.
Beyond core food testing, the acquisition adds specialized verticals with growing relevance to foodservice-adjacent supply chains: dietary supplement and OTC product testing through Certified Laboratories, contract research via Lab Plus, and regulatory consulting through EAS Consulting Group. The FSNS Certification and Audit division expands the company's third-party audit offerings, a service category in heavy demand as chain operators tighten supplier-qualification programs. For processors and distributors already handling multi-site compliance, access to a single national provider with coast-to-coast lab density can materially reduce logistics costs and approval timelines.
Ownership & Outlook
Financing for the transaction brings two new minority shareholders into the Mérieux NutriSciences capital structure: Peugeot Invest and Continental Grain Company (Conti). They join existing shareholders Institut Mérieux, Sofina, and Dassault Group. Warburg Pincus, which backed Certified Group's growth as a platform investment, exits with the close. "Certified Group has built a differentiated platform with a strong reputation for quality, scientific excellence and exceptional customer service," said Deborah Kerr, Managing Director at Warburg Pincus and Executive Chair of Certified Group.
CEO Nicolas Cartier framed the deal as a capability multiplier rather than a pure scale play, emphasizing localized, time-sensitive service as the primary value driver for customers. President North America Sébastien Moulard echoed that emphasis, noting that the combined analytical network enables access to routine testing, specialized analysis, and expert regulatory support through a single relationship.
The transaction arrives as food-safety scrutiny intensifies across the foodservice sector, with regulators and chain procurement teams demanding tighter traceability from farm to distribution center. Consolidation in the TIC space has accelerated over the past several years as food manufacturers seek to rationalize their testing-vendor base. Mérieux NutriSciences' expanded North American footprint gives it a stronger argument in competitive supplier-qualification conversations — and a larger share of the recurring testing volume that large restaurant chain supply chains generate year-round. Operators sourcing animal protein, dairy, or packaged ingredients should expect their current testing providers to benchmark against this newly enlarged network.
