Mérieux NutriSciences is bringing two new strategic investors into its capital structure to bankroll the acquisition of Certified Group, the Chicago- and Lyon-based food safety testing company announced Sept. 21. Peugeot Invest and Continental Grain Company (Conti) will become minority shareholders subject to customary regulatory approvals, joining long-term backers Sofina and Dassault Group alongside majority owner Institut Mérieux.

Certified Group carries approximately $300 million in revenue and operates a network of 31 laboratories across North America — territory that Mérieux NutriSciences describes as the world's largest food testing, inspection, and certification (TIC) market, estimated at more than $2.5 billion in outsourced revenue. Adding that footprint would expand Mérieux NutriSciences' existing base of more than 140 accredited labs and push its headcount well beyond the current 10,000 employees.

Beyond raw scale, the acquisition layers in complementary capabilities across animal protein, dairy, and packaged foods — three categories with heavy regulatory scrutiny and consistent demand for third-party lab services in the foodservice and retail supply chains. Certified Group also brings adjacent expertise in cosmetics, health supplements, over-the-counter drugs, and reduced-harm nicotine, broadening the company's addressable market beyond core food and beverage.

Investor Rationale

For Conti, a privately held agribusiness investor with more than 200 years of operating history, the TIC sector is squarely on-strategy. "The TIC industry sits at the center of this ecosystem, ensuring the resiliency and safety of the world's food supply," said Ari Gendason, co-CEO of Conti. "Mérieux NutriSciences has built a preeminent TIC platform, rooted in scientific excellence, deep technical expertise, and trusted customer relationships." Peugeot Invest, the Euronext-listed investment vehicle of Établissements Peugeot Frères, views the move as consistent with its healthcare and business-services mandate. CEO Jean-Charles Douin framed the investment as backing "a global player in food safety" navigating market transformation in North America.

Both investors will receive board representation upon closing of the Certified Group transaction, giving each a governance role as Mérieux NutriSciences executes on what is shaping up to be a significant consolidation play in the North American TIC market.

Supply-Chain Safety Tailwinds

The deal reflects a broader trend in the foodservice and food manufacturing sectors: heightened regulatory scrutiny and consumer pressure are driving sustained demand for third-party food safety services. Operators and manufacturers across the restaurant supply chain — from protein processors to packaged-goods producers — have increased reliance on independent TIC providers as traceability requirements multiply and recall costs climb. That structural demand makes the TIC sector a defensible B2B niche, which is precisely the profile both Peugeot Invest and Conti cited as attractive.

For foodservice procurement and quality-assurance teams, a larger Mérieux NutriSciences footprint translates to faster turnaround on lab results and more localized service through Certified Group's distributed network.
